某境外污水處理PPP項目投標及合同談判實務案例(一)

為什么這么長時間,特許經營協議簽署之后筆者理解了:本項目從發布招標文件到簽署特許經營協議,時間為1年零10天,國內PPP項目投標文件有效期目前沒有這么長時間的,基本是維持在120天。

5. 沒收投標保函的情況比較多。

按照Instructions to Bid Partners (投標人須知)要求,如果投標人有下列情形之一的,項目發起人(采購人)可以沒收投標保函:

1) 投標人在投標有效期或者被拒絕之前撤回投標文件(the Bid Partner withdraws its BAFO after its submission before the expiry of the BAFO Validity Period or prior to its BAFO being rejected by the Master Developer);

2) 投標人未能按照招標文件要求延長投標保函的有效期(the Bid Partners fails to extend the validity of the BAFO Bond as required under this Request for BAFO);

3) 投標文件含有實質性虛假陳述和失實(the BAFO contains material misrepresentations or inaccuracies);

4) 投標人或者其高管從事不當行為(the Bid Partner or its Officer engages in Improper Conduct);

5) 投標人為中標候選人,在項目發起人(采購人)通知之日起14日內未能進行合同談判(if the Bid Partner is the Preferred Bid Partner, it refuses and fails to negotiate with the Master Developer within fourteen (14) Days of being notified by the Master Developer);

6) 中標社會資本未能按照特許經營協議的約定提供履約保函(the Successful Bid Partner fails to provide the Performance Bond in accordance with the Concession Agreement);

7) 投標人在遞交投標文件之后未經項目發起人(采購人)書面同意(其對該類事項有絕對決定權)變更所有權、股權結構、公司章程(包括聯合體成員的相關類似變更)(the Bid Partner changes its ownership or shareholding structure or constitution (including where the Bid Partner is a consortium or joint venture, any change in the ownership, shareholding structure or constitution of any member of that consortium or joint venture) after submitting its BAFO without the Master Developer’s written consent, which the Master Developer is entitled to grant or withhold at its sole and absolute discretion);

8) 投標人在遞交投標文件之后尋求修改其投標文件,除非該種修改是項目發起人(采購人)對招標文件變更或修改所必須,或者合同談判所必須(the Bid Partner seeks to modify or modifies its BAFO after its submission unless such modification is necessary pursuant to any changes or amendments to the Request for BAFO made by the Master Developer or pursuant to any negotiations between the Bid Partners and the Master Developer; and/or)

9) 投標人違反招標文件中的實質性義務(the Bid Partner breaches any of its material obligations under this Request for BAFO Documents)。

6. 重視環保。

本項目要求必須獲得美國綠色建筑協會認證的“親鄰發展計劃(NDP) ”類別中的綠色能源與環境設計(LEED)金牌認證。項目公司應保證在整個合作期限內一直擁有這些認證。如果項目公司未能遵守環保要求并且導致環境認證被撤銷、撤回或降級,則項目公司應就每一起違約事件向項目發起人(采購人)支付違約金5百萬美元(Bid Partners should note that the Plant has earned or will earn the Leadership in Energy and Environmental Design Gold Certification for the “Neighbourhood Development Plan” category certified by the United States of America Green Building Council. The Concession Company is required to coordinate with the Master Developer to ensure that these certifications will be obtained and maintained throughout the term of the Project. If the Concession Company fails to comply with and such failure results in or contributes to the revocation, withdrawal or downgrading of any Environmental Certification, unless excused by a Legitimate Circumstance, the Concession Company shall pay to the Master Developer as liquidated damages an amount of USD Five Million (USD$5,000,000) for each such occurrence)。

隨著國家對環保的重視,國內PPP項目對環保方面的要求也提上日程,但是仍與國外有一定的差距。

除了上述不同之處外,本項目投標文件編制過程中最大的不同就是“PPP+EPC”模式的應用。當前,國內PPP項目當前很多都是“兩標并一標”,即選擇的中標社會資本如果具備相應的工程資質和能力,則根據《中華人民共和國政府采購法》、《中華人民共和國招標投標法實施條例》、《關于在公共服務領域深入推進政府和社會資本合作工作的通知》(財金(2016)90號)、《傳統基礎設施領域實施政府和社會資本合作項目工作導則》(發改投資[2016]2231號)等有關法律法規的相關規定,在項目公司設立之后,可由項目公司直接委托中標人承擔承包并簽署工程承包合同;若中標人不具備相應資質和能力,則在項目公司設立之后,由項目公司依照相關法律規定進行工程招標。

本項目所在國家對于工程建設沒有特殊資質要求,但是本項目采用了類似“兩標并一標”的“PPP+EPC”模式,即中標社會資本直接委托工程承包商簽署EPC總承包合同,核心內容作為投標文件的一部分。
